These Terms and Conditions (“Terms”) constitute an agreement between you (“Customer,” “User,” “you,” or “your”) and BSD PIP LLC d/b/a William Alexander, a Florida limited liability company (“BSD PIP LLC,” “Company,” “we,” “our,” or “us”).

These Terms govern access to and use of our website and purchases of ebooks, paperback books, hardcover books, digital products, and other products offered through the website.

By accessing the website, purchasing a product, downloading digital content, creating an account, or affirmatively accepting these Terms during checkout, you agree to these Terms.

If you do not agree, do not complete the purchase or use portions of the website requiring acceptance of these Terms.

 

1. SCOPE

These Terms apply to customers throughout the 50 United States and District of Columbia, subject to applicable federal, state, and local laws.

Nothing in these Terms is intended to waive a consumer protection or other statutory right that cannot legally be waived.

If applicable law conflicts with these Terms, mandatory applicable law controls to the extent of that conflict.

  • Hardcover books;

  • Children’s books;

  • Activity books;

  • Educational materials;

  • Downloadable materials;

  • Digital products;

  • Book bundles;

  • Promotional products; and

Product offerings may be changed or discontinued at any time, subject to our obligations concerning orders already accepted.

 

3. PRODUCT INFORMATION

We make reasonable efforts to accurately describe our products.

Actual colors, dimensions, printing, binding, paper, cover appearance, illustrations, and other physical characteristics may vary slightly because of printing processes, production methods, screen settings, devices, or differences between editions.

Such differences do not affect rights or remedies that applicable law provides for defective, materially misdescribed, or incorrect products.

 

4. PRICES

Prices are stated in U.S. dollars unless otherwise indicated.

Prices may be changed before an order is completed.

Applicable taxes, shipping, handling, and other charges will be disclosed as required during checkout.

If an obvious pricing or website error occurs, we reserve the right to correct it as permitted by applicable law.

 

5. PAYMENT

EBOOK AND DIGITAL PRODUCT TERMS

7. EBOOK LICENSE

Purchasing an ebook provides the purchaser with a limited, personal, non-exclusive, non-transferable license to use the ebook for lawful personal, noncommercial purposes.

Purchasing an ebook does not transfer ownership of the copyright or other intellectual-property rights.

 

8. PROHIBITED EBOOK USE

Except as authorized by BSD PIP LLC or permitted by applicable law, purchasers may not:

  • Sell unauthorized copies;

  • Reproduce the ebook for commercial distribution;

  • Upload the ebook to unauthorized file-sharing services;

  • Distribute unauthorized electronic copies;

  • Publish substantial portions online;

  • Remove copyright notices;

  • Circumvent digital-rights-management protections;

  • Commercially exploit the content;

  • Represent the content as their own; or

  • Create unauthorized commercial reproductions.

Nothing in this section limits rights granted by applicable copyright law that cannot legally be restricted.

 

9. DIGITAL DELIVERY

Digital products may be delivered by download, email, customer account, third-party platform, or another electronic method disclosed at purchase.

The customer is responsible for having compatible equipment, software, and internet access.

If a customer receives a corrupted, inaccessible, incomplete, or incorrect file, the customer should contact us for assistance.

 

10. DIGITAL PRODUCT REFUNDS

Because an ebook or downloadable product may become accessible immediately after purchase, digital purchases may be nonreturnable after delivery or access to the extent permitted by applicable law and provided the applicable restriction was properly disclosed before purchase.

This provision does not eliminate any refund, cancellation, warranty, or other remedy required by applicable law.

If we deliver an incorrect or defective digital product, we may provide a corrected file, replacement, refund, or other remedy as appropriate.

 

PAPERBACK AND HARDCOVER SALES

11. SHIPPING

Paperback and hardcover books will be shipped according to the shipping information provided at checkout.

Customers are responsible for providing accurate shipping information.

Estimated delivery dates are estimates unless expressly stated to be guaranteed.

 

12. SHIPPING DELAYS

We will comply with applicable federal requirements concerning Internet orders.

When required by law, if merchandise cannot be shipped within the represented shipment period, or within the period prescribed by applicable law when no shipment period was represented, customers will be given the required opportunity to consent to a delay or cancel and receive a refund.

Nothing in these Terms limits rights provided by applicable federal or state law concerning delayed or undelivered merchandise.

 

13. RETURNS OF PHYSICAL BOOKS

Unless a different return policy is conspicuously disclosed before purchase, physical books purchased directly from our website may be returned within 30 days after delivery, subject to these Terms and applicable law.

Unless the book is defective, damaged, incorrect, or applicable law provides otherwise, the returned product should be in substantially its original condition.

 

14. DAMAGED, DEFECTIVE OR INCORRECT BOOKS

If you receive a damaged, defective, or incorrect book, contact us promptly.

We may reasonably request:

  • Customer name;

  • Order number;

  • Description of the problem; and

  • Photographs showing physical damage or the incorrect item.

We will provide a replacement, refund, or other appropriate remedy as required by applicable law.

 

15. THIRD-PARTY RETAILERS

Our books may also be sold by Amazon or other independent retailers, marketplaces, distributors, or booksellers.

When you purchase directly from a third-party retailer, that retailer’s applicable payment, shipping, cancellation, return, refund, and other transaction terms generally govern the retail transaction.

 

INTELLECTUAL PROPERTY

16. COPYRIGHT

Books, stories, illustrations, covers, graphics, website materials, photographs, characters, and other original materials appearing on the website may be protected by U.S. and international copyright laws.

No intellectual-property ownership is transferred merely because a person accesses the website or purchases a book.

 

17. TRADEMARKS

Names, logos, character names, book-series names, slogans, graphics, and other source-identifying material may constitute trademarks or other protected intellectual property.

No right or license to commercially use these marks is granted except through express written authorization.

 

18. ACCEPTABLE USE

Users may not:

THIS MAY INCLUDE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SOME STATES DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS OR LIMITATIONS. THEREFORE, SOME OF THESE PROVISIONS MAY NOT APPLY TO A PARTICULAR CUSTOMER.

NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR CONSUMER RIGHT THAT CANNOT LEGALLY BE EXCLUDED.

 

30. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BSD PIP LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE WEBSITE OR PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGGREGATE LIABILITY ARISING FROM A PARTICULAR PURCHASE SHALL NOT EXCEED THE AMOUNT PAID DIRECTLY TO BSD PIP LLC FOR THE PRODUCT GIVING RISE TO THE CLAIM.

THIS LIMITATION DOES NOT APPLY TO LIABILITY OR REMEDIES THAT APPLICABLE LAW PROHIBITS US FROM EXCLUDING OR LIMITING.

 

31. INDEMNIFICATION

To the extent permitted by applicable law, a user agrees to indemnify BSD PIP LLC against third-party claims arising from the user’s unlawful use of the website, material violation of these Terms, fraud, or infringement of another person’s rights.

A consumer is not required under this provision to indemnify BSD PIP LLC for liability that applicable law prohibits us from transferring to the consumer.

 

DISPUTE RESOLUTION AND ARBITRATION

32. INFORMAL DISPUTE RESOLUTION

Before commencing arbitration, the complaining party should provide written notice describing the dispute and requested resolution.

The parties will attempt in good faith to resolve the dispute for 30 days following receipt of the notice before arbitration is commenced, except where applicable law provides otherwise.

33. AGREEMENT TO INDIVIDUAL BINDING ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for disputes expressly excluded below and rights that cannot lawfully be subjected to arbitration, you and BSD PIP LLC d/b/a William Alexander agree that disputes, claims, or controversies arising from or relating to these Terms, the website, products, purchases, orders, payments, shipping, refunds, advertising, communications, or the relationship between the customer and BSD PIP LLC will be resolved through individual binding arbitration rather than a court proceeding.

 

34. AMERICAN ARBITRATION ASSOCIATION

Arbitration shall be administered by the American Arbitration Association (“AAA”) pursuant to the applicable AAA Consumer Arbitration Rules and Mediation Procedures, as modified by this agreement to the extent legally permitted.

The arbitration agreement is intended to comply with the AAA Consumer Due Process Protocol.

If a mandatory AAA consumer rule conflicts with these Terms and cannot legally be modified, the applicable mandatory AAA rule controls.

If AAA declines or is unable to administer a particular arbitration, the parties will attempt in good faith to agree upon another nationally recognized arbitration provider. If agreement cannot be reached, either party may ask a court of competent jurisdiction to appoint an appropriate arbitrator or arbitration provider as permitted by law.

 

35. FEDERAL ARBITRATION ACT

Because online purchases may involve interstate commerce, this arbitration agreement is intended to be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16, to the extent applicable.

Where applicable and not preempted by federal law, Florida arbitration law, including the Revised Florida Arbitration Code, Chapter 682, Florida Statutes, may apply.

 

36. ARBITRATION FEES

AAA filing, administrative, hearing, case-management, and arbitrator fees will be allocated according to the applicable AAA Consumer Arbitration Rules and fee schedule and applicable law.

BSD PIP LLC will pay all fees that the AAA rules or applicable law require the business to pay.

A consumer will not be required to pay arbitration fees that applicable law prohibits imposing upon the consumer.

 

37. METHOD AND LOCATION OF ARBITRATION

Subject to applicable AAA rules and law, arbitration may occur:

  • Through written submissions;

  • By telephone;

  • By videoconference; or

  • Through an in-person hearing.

A consumer will not be required to travel to Florida when applicable AAA rules or applicable law provide the consumer with another location or method.

 

38. SMALL CLAIMS COURT

Notwithstanding the arbitration provisions, either party may pursue an eligible individual claim in small claims court when the claim qualifies for and remains within that court’s jurisdiction.

 

39. GOVERNMENT COMPLAINTS

Nothing in these Terms prevents a consumer from contacting, reporting a matter to, cooperating with, or filing a complaint with an appropriate federal, state, or local governmental agency where legally permitted.

 

40. CLASS ACTION AND JURY TRIAL WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BSD PIP LLC AGREE THAT CLAIMS SUBJECT TO ARBITRATION SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

FOR CLAIMS THAT ARE VALIDLY SUBJECT TO BINDING ARBITRATION, EACH PARTY WAIVES THE RIGHT TO HAVE THOSE CLAIMS DECIDED BY A JUDGE OR JURY.

Nothing in this provision waives a right that applicable law prohibits a consumer from waiving.

 

ARBITRATION OPT-OUT

41. RIGHT TO OPT OUT OF ARBITRATION

YOU HAVE THE RIGHT TO OPT OUT OF THE BINDING ARBITRATION AGREEMENT.

A customer may opt out by sending BSD PIP LLC written notice within 30 days after the customer first accepts these Terms.

The notice should state:

“I OPT OUT OF THE ARBITRATION AGREEMENT.”

The notice should contain:

  1. Customer’s full name;

  2. Mailing address;

  3. Email address associated with the purchase;

  4. Order number, if applicable; and

  5. Date of the notice.

A valid and timely opt-out applies to the arbitration provisions. The remainder of these Terms continues to apply.

GOVERNING LAW

42. FLORIDA LAW

Except where federal law applies or another state’s mandatory consumer-protection law cannot legally be waived, these Terms shall be governed by the laws of the State of Florida, without regard to Florida conflict-of-law principles.

Nothing in these Terms deprives consumers of non-waivable protections afforded by applicable federal law or the mandatory laws of their state.

 

43. VENUE FOR NON-ARBITRABLE CLAIMS

For claims not subject to arbitration and that may lawfully be subjected to a Florida forum-selection provision, the parties consent to jurisdiction in an appropriate state or federal court located in Florida.

This provision does not require a consumer to litigate in Florida when applicable law provides the consumer with a non-waivable right to bring the action elsewhere.

 

SEVERABILITY AND SEVERANCE

44. SEVERABILITY

If any provision, sentence, clause, phrase, waiver, restriction, or portion of these Terms is found by a court or arbitrator of competent jurisdiction to be illegal, invalid, void, or unenforceable, the affected provision shall, to the maximum extent permitted by law:

  1. Be enforced to the greatest legally permissible extent;

  2. Be limited or modified only to the minimum extent necessary to make it enforceable, where legally permitted; or

  3. Be severed if it cannot legally be modified.

Except where applicable law requires otherwise, the invalidity or unenforceability of one provision will not invalidate the remaining Terms, which will remain in full force and effect.

 

45. SEVERANCE AS TO PARTICULAR STATES OR CONSUMERS

If a provision is unenforceable only with respect to a particular state, consumer, claim, transaction, or circumstance, the provision will be limited or severed only to the extent necessary with respect to that state, consumer, claim, transaction, or circumstance.

The remaining provisions will continue to apply to the maximum extent legally permitted.

 

46. ARBITRATION SEVERABILITY

The arbitration provisions are intended to be severable from the remainder of these Terms.

If a portion of the arbitration agreement is determined to be unenforceable, the remainder will continue in effect to the maximum extent permitted by law.

Nothing in this provision requires arbitration of a claim that applicable law prohibits from being arbitrated.

 

GENERAL PROVISIONS

47. FORCE MAJEURE

To the extent permitted by applicable law, BSD PIP LLC will not be liable for delays caused by circumstances beyond its reasonable control, including natural disasters, severe weather, transportation interruptions, governmental actions, labor disruptions, carrier failures, fires, floods, wars, civil disturbances, widespread telecommunications failures, or technology outages.

This provision does not eliminate statutory refund, cancellation, or delivery obligations that cannot legally be waived.

 

48. FRAUD PREVENTION

We may use reasonable fraud-prevention procedures.

Orders reasonably suspected of fraud, identity theft, stolen payment information, unauthorized transactions, or other illegal activity may be delayed, rejected, or canceled as permitted by law.

 

49. CHARGEBACKS

Customers retain all rights provided by applicable law to dispute unauthorized or incorrect credit-card or debit-card transactions.

We encourage customers to contact us promptly concerning a disputed charge so we have an opportunity to investigate and resolve it.

 

50. AUTOMATIC RENEWALS

Unless clearly stated otherwise before purchase, sales of our ebooks, paperback books, and hardcover books are one-time purchases and do not automatically renew.

If BSD PIP LLC later offers subscriptions, memberships, recurring payments, or automatically renewing products, separate disclosures and consent procedures will be provided as required by applicable law.

 

51. CHANGES TO THESE TERMS

We may update these Terms from time to time.

The current version will display its effective date or last-updated date.

Material changes will be communicated when required by applicable law.

Changes will not be applied retroactively where prohibited by law.

 

52. NO WAIVER

Failure by BSD PIP LLC to enforce a provision on one occasion does not constitute a permanent waiver of that provision or any other provision.

 

53. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Return and Refund Policy, Shipping Policy, and other terms expressly incorporated into a transaction, constitute the applicable agreement concerning the website and purchases made directly from BSD PIP LLC.

 

54. SURVIVAL

Provisions concerning intellectual property, dispute resolution, arbitration, limitations of liability, governing law, and severability that by their nature should survive termination will survive discontinuation of website use or completion or cancellation of an order to the extent permitted by law.

 

55. PRESERVATION OF STATE AND FEDERAL CONSUMER RIGHTS

Nothing in these Terms is intended to eliminate, restrict, disclaim, or waive any consumer right or remedy that applicable federal, state, or local law prohibits us from waiving.

When a mandatory consumer-protection law conflicts with these Terms, that mandatory law controls to the extent of the conflict.
